Terms of Use and Conditions

1. Online Service

Vertrax LLC ("we," "our," or "us") operates the Website and Online Service, including all features, functionalities, content, and software associated therewith (the "Service"). These Usage Policies and Conditions ("Terms"), together with any referenced agreements and future amendments (collectively, the "Agreement"), govern your use of the Service. By accessing or using the Service, whether as a registered Member, account holder, or recipient of communications, you agree to be bound by these Terms.

By using Flavor Routine, you agree that this Agreement is a binding contract between you and Vertrax LLC (20227 Cedarcreek ST, Canyon Country, California 91351, US), the owner and operator of the Site. If you do not agree, you must immediately cease using the Service.


2. Service User Agreement

No binding contract or right to access the Online Service shall exist unless and until Vertrax LLC expressly grants you access. We reserve the right to amend or modify these Terms at any time without prior notice. Such amendments shall become effective immediately upon being posted on the Website or upon notification to you by other means.

Your continued use of the Website and/or the Online Service following any such amendments constitutes your acceptance of the modified Terms. If you do not agree to the amended Terms, you must immediately discontinue use of the Website and Online Service.

Vertrax LLC retains the sole discretion to refuse or revoke access to the Services for any reason, at any time, without liability.


3. Licensing Terms and Content Access

License

We grant you a limited, non-exclusive, non-transferable license to use the Service and access digital content for personal, non-commercial purposes only. We may modify or adjust the Service at any time without notice. Descriptions of functionality do not guarantee uninterrupted operation.

The Digital Assets

You may only access and view digital content for personal use. You agree not to remove, alter, bypass, or circumvent any copyright, trademark, or digital rights management protections. Unauthorized copying, distribution, modification, transmission, or commercial use of the content is prohibited unless expressly authorized in writing. This includes all text, graphics, audio, video, and other materials.

Access and Availability and Geographic Access Limits

Content availability varies by region and over time. We employ technology to verify your geographic location and only permit streaming in authorized territories.

Account Credentials

Login credentials will be provided upon successful registration, typically via email within 5 minutes.


4. Client Support and Services

Support is provided during regular business hours, excluding weekends and holidays. Assistance includes troubleshooting and updates as deemed appropriate. Additional equipment or services may be required at your expense. Support methods and timing are at our discretion.

5. Billing and Payment

Subscription fees and charges are detailed on the welcome email and communicated during registration. Your monthly subscription starts immediately upon sign-up for $39.99 and automatically renews every 30 days unless cancelled. By subscribing, you authorize recurring monthly charges of $39.99.

Prior to each renewal transaction, you will receive an electronic notification approximately 5–7 days in advance, followed by a confirmation receipt after each successfully processed payment.

Failed Payments

If a recurring payment attempt is unsuccessful, Vertrax LLC reserves the right to apply a temporary discounted membership rate to maintain your access to the Service. If this discounted rate cannot be processed successfully, an administrative fee of up to $3.00 may be applied to maintain your subscription until the full or discounted subscription fee is successfully processed.

Vertrax LLC is not responsible for issues with your payment method; any disputes should be resolved with your payment provider. All payments must come from legitimate funds, and users are responsible for any data or browsing fees.

Your Flavor Routine subscription will appear on your statement as flavrout.com.


6. Termination

Subscription Cancellation

You may cancel your subscription at any time via your account settings or by contacting support. Cancellation takes effect at the end of the current billing period.

Service Termination

Vertrax LLC may modify, suspend, or terminate the Service at any time for reasons including non-payment, inactivity, or violations of these Terms. Paid users in good standing will generally have changes take effect at the end of their current term, or receive a prorated refund if changes occur immediately.

Effect of Termination

Upon termination, access to the Service ends, though residual content may be retained. Termination does not affect your obligations under these Terms, including ownership, liability, and indemnification.


7. Refund Policy

Refunds, when applicable, will be processed promptly and credited via your original payment method within 14 days. We will make the refund using the same means of payment that you used when you placed your order, unless you have agreed otherwise. Cancellation rights do not affect your statutory consumer rights.


8. Responsibilities of the Client

You agree to use the Service lawfully and in compliance with all restrictions. You agree to use the Services only for lawful, personal, and non-commercial purposes. You must not use the Services in any way that:

  • Violates the rights of others (e.g., copyright, trademark, privacy).
  • Bypasses security, content protection, or access controls.
  • Uses automated tools like bots or scrapers to access content.
  • Introduces viruses or harmful code or damages the Services or servers.
  • Removes, blocks, or interferes with advertising.
  • Promotes unauthorized services or collects personal data improperly.
  • Violates these Terms or interferes with other users' access.

You may only stream content for personal use. You must not copy, distribute, or share content, nor attempt to bypass, modify, or reverse-engineer any security, encryption, or rights-management technology.


9. Interruption or Termination

We reserve the right to suspend or discontinue all or part of the Service at any time without liability. Credits or refunds may be offered at our discretion. Users suspended for violations are not eligible for such compensation.


10. Copyright Notice

All content is owned or licensed by Vertrax LLC and protected by copyright laws. Unauthorized use is prohibited.

Trademarks

All trademarks and logos are the property of their respective owners. No rights are granted for their use.


11. Exceptional Events

We are not liable for failures or delays caused by circumstances beyond our reasonable control, including natural disasters, strikes, cyberattacks, or internet outages.


12. Warranty Terms Disclaimer

The Service is provided "as is" without warranties of any kind. We do not guarantee uninterrupted or error-free service and disclaim liability for damages resulting from your use.


13. Applicable Law and Venue

These Terms are governed by United States of America law. Legal proceedings related to these Terms shall be brought exclusively in the courts of United States of America. Consumer statutory rights are unaffected.
